The General Terms and Conditions herein establish the terms and conditions under which the “ANGELPC” Software (hereinafter known as the SOFTWARE) may be used, as well as for accessing services provided by the Company “ANGELPC SOPORTE INFORMATICO PERMANENTE, S.L.U.” (hereinafter known as ANGELPC).

Access to, downloading, installation or use of the SOFTWARE implies the automatic acquisition of the status of User and the acceptance of all terms and conditions and regulations covered by the General Terms and Conditions herein.

ANGELPC may modify the General Terms and Conditions herein when deemed necessary or advisable by publishing said modification on its website www.angelpc.com , www.angel-pc.com and www.angelpc.es , and/or by updating the SOFTWARE.

The SOFTWARE is a computer program which allows the User to remotely access computer support services.

Communication between ANGELPC and the User may be carried out over the telephone, via chat or VOIP. Furthermore, in order to provide services, and provided that authorization is provided by the User, ANGELPC may remotely control the computer equipment of the User.

Depending on the service or product contracted by the User, said user may access one or several areas of the SOFTWARE, be provided with support on certain dates and at certain times, etc.

The services provided by ANGELPC are limited to solving user problems which are published in angelpc's websites.

In no case shall ANGELPC be obligated to solve problems relating to software other than that which is described above unless it has provided prior, express, written commitment to do so. Likewise ANGELPC shall not deal with consultations relating to how to use software (even if included in the previous point) or with consultations relating to teaching users how to use the software.

ANGELPC cannot guarantee that channels of communication between both parties shall always operate perfectly, therefore ANGELPC shall not be responsible for not being able to provide services due to the breakdown, incorrect functioning, deterioration, etc. of channels of communication. In all other cases, ANGELPC shall only be responsible in the event that communication between ANGELPC and the User is not possible for reasons attributable to ANGELPC and if said interruption is for period of more than 48 consecutive hours of service. In these cases, the indemnity to be paid shall be the result of multiplying the number of hours during which communication could not be established by the price/hour paid to ANGELPC. ANGELPC shall not pay any compensation other than that which is established in the point herein for any damage, loss of interest or loss of profits which may occur as a result of the interruption to this service.

ANGELPC shall be entitled to modify, complete, add or delete content included in the SOFTWARE at any time without any need to provide prior notice to the User.

Likewise, if necessary, ANGELPC may partially or totally suspend the provision of services up to a maximum of 72 consecutive hours in order to carry out technical changes, improvements, modifications, etc. to the SOFTWARE.

The minimum Hardware and Software configuration required for the correct operation of the current version of the SOFTWARE is as follows:

- Processor: 200 MHz Pentium II or similar.

- Memory: 128 Mb RAM (256 Mb recommended).

- Operating system: Microsoft Windows 98, Me, 2000 SP4 or higher, XP SP1 or higher.

- Internet Explorer 5.5 or higher.

- Internet access.

- 40 Mb of free disk space for application files.

- CD-ROM unit if installing with a CD-ROM.

- Internet connection for updating and downloading updates.

- Sound card and audio device (VoIP)

In order for ANGELPC to provide services by means of the SOFTWARE, it is essential that the User's equipment is connected to Internet, preferably by means of an ADSL line.

The technical specifications referred to herein relate to the current version of the SOFTWARE. ANGELPC does not guarantee that future versions, updates, improvements, patches or any other modifications to the SOFTWARE shall work with said specifications.

ANGELPC shall not be responsible for the incorrect operation of the SOFTWARE in equipment that does not comply with the minimum specifications, nor shall it be responsible for loss of data or information, low performance of the SOFTWARE, etc. caused by use of said equipment. For this purpose, the User undertakes to always access and use the SOFTWARE in computer equipment that complies with the specifications indicated from time to time by ANGELPC.

In order to be able to use the SOFTWARE, the User must have previously acquired a license or sublicense for the use of the SOFTWARE (hereinafter known as the License) from ANGELPC, or from a third party authorized for such purpose by ANGELPC.

In any event, the License possessed by the User shall not be exclusive and shall be limited in time and shall only allow the User to access those areas of the SOFTWARE on the dates and at the times contracted by the User.

In no case shall the User sell, transfer or assign in any way whatsoever the License, nor may it grant sublicenses of said license.

The License is exclusively granted for one computer, therefore, unless the User has obtained prior, express authorization in writing from ANGELPC, it may not use it on other equipment other than the one which was initially designated. To this end, ANGELPC may adopt as many technical measures as it deems necessary to monitor and prevent the use of the License in other equipment, including the introduction of cookies or any other technique which allows it to carry out said monitoring.

In the event that the User has contracted an indefinite License with a third party other than ANGELPC, and the relationship between said third party and ANGELPC terminates for any reason whatsoever, the License of the User shall automatically be terminated, although in this event ANGELPC shall contact the User in order to offer to continue its services by directly contracting said services with ANGELPC.

Users who use the SOFTWARE shall respect the terms and conditions contained in the General Terms and Conditions herein, in the law in force at all times, as well as public order, morals and good manners.

Use of the SOFTWARE is completely banned for illicit, improper, unlawful or immoral purposes. Merely as an example, the User may not use the SOFTWARE to transmit viruses or damaging programs of any other type.

In no case shall the User access or use the SOFTWARE in such a way that may cause damage or totally or partially render said software useless, modify, delete or alter its content, graphic design or source code, damage or alter the equipment of ANGELPC or of third parties, or damage or alter the programs, files, etc. which said equipment may contain, or cause any damage to third parties who also use said elements.

The User shall not make total or partial copies or reproductions, translations, adaptations, changes or any other transformation of the SOFTWARE nor to its content or accompanying documentation, nor shall it distribute or reveal any of the above to third parties.

Likewise, the User shall not use inverse engineering techniques, decompile, disassemble, modify or alter the SOFTWARE.

Similarly, the User may only access the data in the SOFTWARE relating to the User and said user shall not be allowed to visualize, copy, access, manage or handle the data of any other Users. The User shall use the SOFTWARE exclusively for its own personal use, without in any case whatsoever being able to use said software to provide services to third parties, whether free of charge or for a fee. In short, the User shall not use the SOFTWARE for any other purpose than that which is provided for in the contract herein and shall refrain from attempting to carry out any activity which may violate that which is provided for in the General Terms and Conditions herein.

Furthermore, the User guarantees that it is the legitimate owner of both the computer as well as the software used on said computer and that said equipment and software do not violate any industrial or intellectual property rights.

The User shall be the only person responsible for any offense or violation that may occur in relation to the above-mentioned bans.

In order to correctly provide its services, ANGELPC may need to remotely control the computer equipment of the User and said user authorizes ANGELPC to do so provided that the User receives prior notification or provided that the User has provided generic authorization for ANGELPC to access and control its equipment.

You are about to commence a remote control session between an operator and a final user (you). If you click on ‘OK’, you are agreeing to a remote operator having partial or unlimited access to your computer.
If you have any doubt about the identity, technical skills or anything else relating to the operator who is about to carry out the remote control session, you should close the window.
AngelPC will not directly indemnify users of this service for system damage or loss of information, that may have been caused during this service, by connection with the service, interruption of the use of the service, or content obtained through the service. The user fully understands all risks involved and has made security copies of all system information and programs.
In any case where ANGELPC considers it necessary to record performance during the remote control phase in order to guarantee the correct performance of the remote control phase, the User authorizes ANGELPC to make said recording. Similarly, the User authorizes ANGELPC to record any conversations or communications between both parties by any means, whether by telephone, chat, voice over IP, or any other.
AngelPC guarantees the security and confidentiality of personal information to which our technicians have access as a result of providing this service.

ANGELPC reserves the right to modify the foregoing text at any time
ANGELPC guarantees that its staff shall never access the computers of the CLIENT in circumstances other than those described above.
In the event that, in order to guarantee the correct functioning of the remote control of the equipment of the User, ANGELPC deems it necessary to record what is carried out during the remote control session, the User authorizes ANGELPC to carry out said recording. Likewise, the User authorizes ANGELPC to record conversations or communications entered into by both parties by any means whatsoever, including telephone, chat, VoIP or any other means.

In the event that the User needs to pay ANGELPC for a technical support service that it may have provided the User, ANGELPC shall be entitled to require that said payment be made using a VISA Credit Card. As a result, the User undertakes to pay ANGELPC, using said method, if so required by ANGELPC, for the services referred to in the event that the User should ever require them.

The use of a user name and a password are necessary in order to use the SOFTWARE, therefore the User undertakes to ensure the careful use and safekeeping of the username and password, undertaking not to provide said information to third parties. For this purpose, the User shall inform ANGELPC as soon as possible of the loss, theft, copying or access to usernames and/or passwords by third parties, in such a way that ANGELPC may cancel said information. In any event, the User shall be responsible for any damages which may arise as a result of the violation of that which is indicated above.

Abusive, offensive, rude words or words that do not comply with the law, morals or good manners, trademarks, names and any other registered, protected terms or terms for which their use and/or reproduction is banned or restricted shall not be used as a username and/or password.

ANGELPC shall not be responsible for damages caused by the CLIENT in the event that the CLIENT has misused the SERVICES.

ANGELPC shall not be responsible in any way whatsoever for the failure to execute or delay in the execution of any of the obligations resulting from the Contract herein if said failure to execute or delay is the result of a case of force majeure or an act of God accepted as such by Jurisprudence, particularly: natural disasters, error in the transmission of IP packages, war, a state of siege, breaches of the peace, transport strikes, an outage or any exceptional measure adopted by administrative or government authorities.

ANGELPC shall not be responsible for loss of information or damage to the computer systems of the CLIENT resulting from the cleaning of equipment infected by a virus which may be carried out by technicians at the Support Center of the Client.

The responsibility of ANGELPC for damages, payment of lost interests and/or income which may arise as a result of its failure in relation to the SOFTWARE or the General Terms and Conditions contained herein, shall in no case exceed the total amount that ANGELPC has received during the last twelve months for the License possessed by the person who has suffered the above-mentioned damages, etc.

The user acknowledges and accepts that use of the software shall be at their own exclusive risk and/or responsibility. As a result, ANGELPC shall not be responsible for:

- Damages caused to third parties as a result of the use of the SOFTWARE by the user.

- Damages caused due to a lack of veracity, accuracy or an error in the identity of the users and in any information said users provide or make available to other users.

- Damages caused by the illicit, improper, illegal or immoral use of the SOFTWARE.

ANGELPC shall not be responsible for damages resulting from offenses committed by any user which affect the rights of another user or of third parties, including copyright, trademarks, patents, confidential information and any other intellectual and industrial property right. The user shall be responsible for damages of any kind experienced by ANGELPC or its suppliers or collaborators due to a failure to comply with the general terms and conditions of use herein.

Nevertheless, if ANGELPC or any supplier or collaborator needs to pay any kind of compensation as a result of non-compliance as provided for in the previous paragraph, the User shall reimburse ANGELPC with the amount paid within 60 calendar days following notification by ANGELPC.

Access, downloading, installation or use of the SOFTWARE by the User does not imply the granting of any rights to the intellectual property rights of said SOFTWARE.

In no case shall the User use, reproduce, distribute, circulate, publicly communicate, copy or transform the content of the SOFTWARE, nor shall it claim total or partial authorship of said software.

ANGELPC is a registered trademark of ANGELPC SOPORTE INFORMATICO PERMANENTE, S.L. and its logo is a registered design.

The trademark ANGELPC refers to the name, brand, stamp, design, logo and other designations used in relation to the Products or Services offered by ANGELPC. The user agrees to comply with the requirements established for the use of the ANGELPC brand and the ANGELPC logo. The User may not alter or remove any ANGELPC brand, or associate its own products or materials with the ANGELPC Brand, without prior written consent from ANGELPC. The User acknowledges the rights of ANGELPC in relation to the ANGELPC Brand and accepts that all and any use of the Brand by the User shall be for the benefit of ANGELPC.

The User understands that the authorized use of the Brand and/or the logo does not imply any assignment of rights by ANGELPC.

In order to use the SOFTWARE as well as specific services provided in the SOFTWARE by the company ANGELPC SIP, S.L.U. and its international offices, the User shall provide certain personal information beforehand. With the exception of those fields that indicate otherwise, answers to questions relating to personal information are optional, and a failure to reply to said questions shall not lead to a reduction in the quality or quantity of corresponding services, unless otherwise indicated.

This information shall be included in an automated file belonging to ANGELPC.

Likewise, the User is hereby informed of the automated handling to which all of its information to which ANGELPC has access as a result of its application, use, contracting or any transaction or operation carried out, shall be submitted

The User is also hereby informed of the possibility of its exercising rights of access, correction, cancellation and opposition, in accordance with the terms of legislation in force and the User guarantees that it has adopted appropriate security measures in its installations, systems and files. Likewise, ANGELPC guarantees the confidentiality of personal information.

Nevertheless, ANGELPC shall reveal personal information and any other information in its possession or accessible through its systems to competent public authorities, when required, in accordance with legal regulations applicable to the case.

ANGELPC shall adopt those measures required in order to avoid the loss, misuse, alteration, unauthorized access or theft of personal information, by adopting technical and organizational measures required for data security. Nevertheless, ANGELPC accepts that security measures are not foolproof and shall assume resulting risks.

ANGELPC shall not accept any attached form or documentation which includes information relating to ideology, religion, beliefs, racial origin, health or sex life. As a result, any form or documentation containing the above-mentioned information or information from which any of said data can be drawn shall be destroyed, and the User shall refrain from sending the referred to data or information. In any event, the User shall be responsible for any damages that may arise from the inclusion of said data or information in attached forms or documentation in violation of the ban herein.

ANGELPC guarantees that it shall maintain strictest confidentiality and express compliance with matters of the User during the validity of the Contract herein and after its termination.

ANGELPC, during and after the validity of the Contract herein, shall treat all information belonging to the User in a strictly confidential way.

For the purposes of the Contract herein, confidential information shall be considered to be all information which may be revealed by word of mouth, in writing or by any other tangible or intangible means or support currently known or which may be invented in the future, whether said information has been exchanged as a result of this contractual relationship or any information which one party establishes or designates as being confidential to the other party.

Any notification required for the purposes of the agreement herein shall be sent to the person and address provided for in the Contract herein. The User shall authorize ANGELPC to send it communications in order to advertise or promote its services, whether by email, through the SOFTWARE itself or by any other similar means. This authorization may be revoked at any time by any means which allows for a record to be kept of its content.

ANGELPC may cancel the access of the User to the SOFTWARE or may stop providing services (including in the event that said services have not been contracted by the User from ANGELPC) in the event that the User does not comply with that which is provided for in the General Terms and Conditions herein.

The invalidity of any condition in the General Terms and Conditions herein shall not lead to the total invalidity of said conditions, unless the invalid condition is essential to the General Terms and Conditions herein.
